Terms of Service

1. Agreement

By creating an account or using PostWave ("Service", "we", "us"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. You must be at least 13 years old (or the minimum age required in your jurisdiction) to use PostWave.

2. Service Description

PostWave is a web-based scheduling tool that publishes posts to X (formerly Twitter) on your behalf at times you specify, using the official X API. You authorize PostWave to post only content you explicitly queue or schedule. PostWave is operated independently and is not affiliated with, endorsed by, or sponsored by X Corp.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials.

You are responsible for all activity under your account.

You must provide accurate information when registering.

You may connect one X account per PostWave account unless otherwise stated on our pricing page.

You may delete your account at any time in Settings. Deletion removes scheduled posts and stored tokens.

4. Your Content and Responsibilities

You retain ownership of content you schedule. You grant PostWave a limited license to store, process, and transmit that content solely to operate the Service (including publishing to X at your direction).

You are solely responsible for all content you schedule and publish.

You must comply with X's Terms of Service, Rules, Developer Policy, and Automation policies.

You must not use PostWave for spam, harassment, hate speech, illegal activity, impersonation, or any purpose prohibited by our Acceptable Use Policy.

You must maintain a valid X account in good standing. If X suspends or restricts your account, PostWave cannot publish on your behalf.

5. Plans, Billing, and Refunds

Free and Pro plans are described on our pricing page. Features and limits may change with reasonable notice.

Pro subscriptions are billed monthly via Stripe. By subscribing, you authorize recurring charges until you cancel.

You may cancel anytime through the Stripe Customer Portal in Settings. Cancellation takes effect at the end of the current billing period unless otherwise stated.

We do not guarantee refunds except where required by applicable law. Contact [email protected] for billing questions.

6. Third-Party Services

The Service depends on third parties including X's API, Stripe, email providers, and cloud hosting. These services may change, become unavailable, impose rate limits, or revoke access. We are not liable for outages, policy changes, or actions taken by third parties outside our reasonable control.

7. Acceptable Use

Your use of PostWave is also governed by our Acceptable Use Policy. We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy, with or without notice where permitted by law.

8. Intellectual Property

PostWave's name, logo, software, and website content are our property or our licensors'. You may not copy, modify, or reverse engineer the Service except as permitted by law.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION, OR THAT POSTS WILL ALWAYS PUBLISH SUCCESSFULLY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PostWave AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS ($50).

11. Indemnification

You agree to indemnify and hold harmless PostWave from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access for violation of these Terms, non-payment, or to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by nature should survive (disclaimers, liability limits, indemnity) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.
